Cinis Fertilizer announces approval of written procedure

Cinis Fertilizer AB (publ) ("Cinis Fertilizer") today announces the successful completion of the written procedure initiated on 16 April 2024 (the "Written Procedure") in relation to its senior secured floating rate callable green bonds with ISIN: SE0021147030 (the "Bonds").

The Written Procedure was initiated to request the holders of the Bonds to vote in favour of, among other things, amending the terms and conditions of the Bonds in order to implement the amended financing and capital structure of Cinis Fertilizer (the "Proposal"). The full details of the Proposal are set out in the notice of Written Procedure. 

A sufficient number of bondholders participated in the Written Procedure in order to form a quorum, and a requisite majority of the bondholders voted in favour of approving the Proposal. Cinis Fertilizer will continue with the implementation of the contemplated updates to its financing and capital structure as set out in the notice of Written Procedure and is proceeding on the basis of the indicative time plan included in the notice of Written Procedure.

 

In connection with the Written Procedure, ABG Sundal Collier AB and Pareto Securities AS has been retained as financial advisors and Advokatfirman Schjødt has been retained as legal advisor to Cinis Fertilizer.
